Public Offer Agreement

Public contract for provision of services and/or sale of goods

This document is the official public offer by Individual Entrepreneur Melnyk Serhii Oleksandrovych (the “Contractor” or “Seller”), addressed to an unlimited number of persons (the “User” or “Buyer”), to enter into an agreement for the provision of services and/or sale of goods (the “Agreement”) on the terms set out below.

Pursuant to Articles 633, 641 and 642 of the Civil Code of Ukraine, this Agreement is public, its terms are identical for all consumers, and actions evidencing acceptance of the offer are equivalent to concluding a bilateral agreement in written form.

Subject of the Agreement

1.1. The Contractor undertakes to provide services and/or supply goods, the detailed description and price of which are published on the Website, and the User undertakes to accept such services/goods and pay for them under this Agreement.

Acceptance and order placement

2.1. Unconditional and full acceptance of this public offer is any of the following actions by the User:

• completing a registration form or application on the Website;
• clicking “Place order”, “Buy”, “Pay” or a button of equivalent meaning on the Website payment page;
• payment (full or partial) for services or goods presented on the Website.

2.2. By accepting, the User confirms full familiarity with this Agreement, that the rules are clear, and that they undertake to comply with them.

Price and payment

3.1. The price of services/goods is stated on the Website in Ukrainian hryvnia (UAH) and/or foreign currency (US dollar (USD), euro (EUR), etc.).

3.2. For residents of Ukraine, payment is made exclusively in the national currency — hryvnia (UAH). If a service or good is priced in foreign currency on the Website, the amount payable in hryvnia is determined at the card rate of the acquiring bank (or payment system used) at the time of the transaction.

3.3. For non-residents of Ukraine, payment may be made in hryvnia or foreign currency (USD, EUR, etc.) to the Contractor’s current foreign-currency account or via international payment services integrated on the Website.

3.4. The Contractor may unilaterally change prices for services or goods before they are paid by the User.

3.5. When paying in foreign currency, the User bears currency conversion costs and correspondent bank fees, if charged during the transfer.

3.6. Payment is deemed made when funds are credited to the Contractor’s current (including foreign-currency) account or when payment is successfully confirmed by the Website’s acquiring system (payment service).

Rights and obligations of the parties

4.1. The Contractor shall:

• provide services or deliver goods of proper quality in accordance with this offer;
• not disclose confidential information and personal data of the User obtained in performing the Agreement, in accordance with the Website Privacy Policy.

4.2. The Contractor may:

• suspend provision of services or access to the platform in case of late payment or breach of Website rules by the User.

4.3. The User shall:

• pay for services or goods timely and in full;
• provide accurate and up-to-date information when placing an order or registering;
• not use Website materials to infringe third-party copyrights or for commercial purposes without the Contractor’s written consent.

Intellectual property

5.1. All rights to the Website, its elements, software code, design, text, graphics and other materials belong to the Contractor (or are lawfully used by them).

5.2. Copying, modifying, distributing or any other use of Website content without the rights holder’s prior express consent is strictly prohibited.

Refunds and liability

6.1. Refunds for purchased goods or services not received are governed by applicable law of Ukraine, including the Law of Ukraine “On consumer rights protection”.

6.2. Refund procedure for Premium subscription and Activity points

• A refund request must be sent to streamshake.support@gmail.com from the email associated with the account; the User must include the order ID and a short reason.
• If the request is filed within 14 calendar days from the date of payment and the User has not yet used the paid functionality (no active sessions, no points spent), the Contractor refunds 100% of the amount to the original payment card via the Monobank acquiring system.
• If part of the subscription period has already been used, the Contractor refunds the unused portion on a pro-rata basis minus any already credited bonus Activity points equivalent at the published USD rate.
• Refunds are processed within 7 business days from approval and arrive in 1–10 banking days depending on the cardholder’s bank. Refunds are always returned to the original payment card (Visa, Mastercard, Google Pay or Apple Pay) used for the transaction.
• No refund is issued for renewals after the renewal date if the User did not cancel the auto-renewal in the Account before that date. The User can disable auto-renewal at any time from the dashboard.

6.3. The Contractor is not liable for technical failures of third-party services (payment systems, internet providers, etc.) beyond its control.

6.4. The parties are released from liability for failure to perform obligations in the event of force majeure confirmed in the manner prescribed by law.

Premium subscription — “Your favorite streamers”

Under this public offer the Contractor provides paid access to the software tool “Your favorite streamers”, located at Top Twitch streamers, in the form of a recurring (periodic) subscription.

Functionality: the tool helps users find and track their favorite channels on the Twitch streaming platform. The user adds channels to a personal list and can filter them in real time by:

• broadcast status (online / offline);
• category or title of the game being streamed;
• type of broadcast (esports, just chatting, music, etc.).

Legal and technical classification

• The service fully complies with the SaaS (Software as a Service) model: the software runs on the Contractor’s cloud servers; the user does not download or install it locally on a device.
• Access to the functionality is provided via a web interface on a periodic-payment (recurring subscription) basis, processed through the integrated Monobank payment service.

Price and what the subscription includes

• The subscription fee is USD 5 per billing period. Residents of Ukraine pay in hryvnia (UAH) at the acquiring bank’s rate at the time of the transaction.
• The billing period is 30 days. The subscription renews automatically at the end of each billing period until cancelled by the user in their Account.
• On activation of the subscription, the user’s bonus (in-platform) balance is credited with 45,000 Activity points. Activity points are governed by the “Activity points (gamification)” section of this Agreement and are not redeemable, compensable or refundable in real currency.

The user may cancel automatic renewal at any time in the corresponding section of the Account. After cancellation, access to Premium functionality is preserved until the end of the already paid billing period; no refund is issued for the unused days of the current period.

Activity points (gamification)

7.1. Activity points (“points”) are a limited, revocable, non-transferable and personal right of access to interactive digital content and gamification features on the Website. Points are not money, currency, payment instruments, e-money or virtual assets within the meaning of the laws of Ukraine.

7.2. Prohibition on alienation: any trading, sale, gifting, lending, exchange or transfer of points to other Website users or third parties is strictly prohibited. Attempts to do so violate this Agreement and result in immediate account suspension and forfeiture of the point balance without compensation.

7.3. No proprietary interest: the User agrees that they have no proprietary, tangible or monetary rights in points, which remain the intellectual property of the platform. Points are not redeemable, compensable or refundable in real currency or any other material value.
